1. Agreement to Terms

By accessing or using HumansAI's website (humansai.io) and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Services

HumansAI provides AI automation services including but not limited to:

  • Workflow automation design and implementation
  • AI chatbot and virtual assistant development
  • Integration services (Zapier, n8n, custom APIs)
  • AI consulting and strategy services
  • Document processing and data automation
  • Ongoing maintenance and support

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring your account information remains accurate and up-to-date

4. Payment Terms

Fees and Billing

  • All fees are quoted in USD unless otherwise specified
  • Subscription fees are billed in advance on a monthly or annual basis
  • Project-based work is billed according to the agreed statement of work
  • All fees are non-refundable unless otherwise stated in your service agreement

Late Payments

Invoices are due within 30 days of issuance. Late payments may result in service suspension and may incur interest charges of 1.5% per month on outstanding balances.

5. Intellectual Property

Our Property

The HumansAI website, branding, proprietary tools, methodologies, and pre-existing intellectual property remain our exclusive property.

Your Property

You retain ownership of your data, content, and any materials you provide to us. Upon full payment, you receive ownership of custom automations and code developed specifically for your project.

License Grant

You grant us a limited license to use your materials solely for the purpose of providing our services. We may use anonymized project learnings for internal improvement and case studies (with your consent).

6. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malicious code, spam, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our services or servers
  • Collect data about other users without consent
  • Engage in any fraudulent or deceptive practices

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes but is not limited to:

  • Business processes and workflows
  • Technical specifications and architecture
  • Customer data and analytics
  • Pricing and financial information

Confidentiality obligations survive the termination of services for a period of 3 years.

8. Service Level Agreement

For clients on paid plans, we commit to:

  • 99.9% uptime for managed automation services
  • Response times: Critical issues within 2 hours, standard issues within 24 hours
  • Support hours: Vary by plan (see your service agreement)

Enterprise clients may have custom SLAs as specified in their service agreement.

9. Limitation of Liability

To the maximum extent permitted by law:

  • HumansAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • We do not guarantee specific business outcomes or ROI figures, which are estimates based on industry data

10. Indemnification

You agree to indemnify and hold harmless HumansAI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Termination

Either party may terminate services:

  • Subscription services: With 30 days written notice before the next billing cycle
  • Project work: According to the terms in your statement of work
  • For cause: Immediately upon material breach by the other party

Upon termination, we will provide your data in a standard format within 30 days of request.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or prominent website notice. Continued use of our services after changes constitutes acceptance of the modified terms.
